In today’s environment, a solid middle market company for sale is difficult to find. This doesn’t mean that buyers are willing to overpay, as the vast majority will only pay a fair and reasonable market price. In some, but not all industries, a strategic buyer may be willing to acquire a middle market concern for a higher multiple due to economies of scale, the synergy of cross-selling to the accounts of each concern, and the ability to acquire more accounts and higher sales (sometimes more equipment) more quickly than through internal growth and expansion of its current employee base. In others, they look at the cost of acquisition versus internal expansion, and will actually pay less than a non-strategic buyer wishing to acquire a platform business.
